Please read this combined Terms of Service and Acceptable Use Policy ("Agreement") carefully before using the services provided by Seamless Hosting LLC ("Seamless Hosting," "we," "us," or "our").
This Agreement sets forth the legally binding terms and conditions for your use of our web hosting services, domain name services, and any related products or features (collectively, the "Services").
By purchasing, signing up for, or using our Services, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by this Agreement, along with our Privacy Policy, which is incorporated herein by reference.
If you do not agree with these Terms, you must immediately cease using the Services.
1. Account Registration and Management
- Account Creation: To use our Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update this information to keep it accurate and complete.
- Client Portal: Your account provides access to a client portal where you can manage your Services, update your personal information, and manage billing and payments.
- Account Security: You are solely responsible for safeguarding your account password and for any and all activities or actions that occur under your account, whether or not you have authorized them. You must notify Seamless Hosting LLC immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to comply with this security obligation.
2. Description of Services and Availability (SLA)
- Web Hosting: We will provide web hosting services as described in the specific package you have selected. We reserve the right to modify, change, or discontinue any aspect of the Services at any time. Support is limited to the hosting environment and server-level infrastructure. Client is responsible for all website application-level management, including but not limited to WordPress core, theme, and plugin updates.
- Service Availability (SLA): We strive to maintain a 99.9% network uptime. This guarantee does not cover downtime resulting from:
- (a) Scheduled or Emergency Maintenance (we will provide advance notice when possible).
- (b) Your Fault: Issues caused by your scripts, applications, or code, or actions/inactions by you or your users.
- (c) External Attacks: Distributed Denial of Service (DDoS) attacks or other external attacks on our network.
- (d) Third-Party Issues: Issues with third-party providers, including your ISP or telecommunications providers.
- (e) Force Majeure events (see Section 13).
- Remedy: If we fail to meet the 99.9% guarantee in a given calendar month, you may be eligible for a pro-rated service credit. This is your sole and exclusive remedy for any downtime.
3. Domain Name Services (Third-Party Registrar)
- Third-Party Registrar: Seamless Hosting LLC acts as a reseller for a third-party domain name registrar ("Third-Party Registrar"). We are not the registrar, even if the purchasing interface is branded as Seamless Hosting.
- Client's Agreement: By purchasing, registering, transferring, or renewing a domain name through our Services, you acknowledge and agree that you are entering into a separate agreement with the Third-Party Registrar. You agree to be bound by all terms, conditions, and policies of that Third-Party Registrar, as well as the rules and regulations of ICANN. The specific identity of the Third-Party Registrar and a link to their terms are made available to you during the domain checkout and registration process, and by request.
- Your Responsibility: You are solely responsible for the registration, renewal, and management of your domain names. It is your responsibility to ensure your domain(s) are renewed on time. Seamless Hosting LLC is not liable for any loss or lapse of a domain name, regardless of the reason.
- No Guarantee/Refunds: We do not guarantee that you will be able to register or transfer a domain name. All fees related to domain name registration, transfer, or renewal are strictly non-refundable.
4. Payments, Billing, and Renewals
- Payment: You agree to pay all fees for the Services in advance, according to your selected billing cycle (e.g., monthly, annually). All payments are due on the invoice date.
- Auto-Renewal: All hosting packages and domain names are set to auto-renew by default. You authorize us to bill automatically using the payment method on file on your renewal date.
- Cancellation of Auto-Renewal: You are responsible for disabling auto-renewal or submitting a formal cancellation request via your client portal before your renewal date to terminate your Services.
- Suspension & Termination for Non-Payment:
- Late Payments: Invoices not paid within 5 days of the due date will be considered late. A late fee may be applied.
- Suspension: Accounts with invoices overdue by 7 days may be suspended.
- Termination: Accounts overdue by 30 days may be permanently terminated. All data will be deleted and may not be recoverable.
- Price Changes: We reserve the right to change our prices at any time. We will provide you with at least 30 days notice of any price change for existing services.
5. Refund Policy
- Hosting Services: We offer a 30-day money-back guarantee for new hosting accounts. If you are not satisfied within the initial period, you may request a full refund of your hosting fees. After this initial 30-day period, all fees paid for subscription web hosting products (monthly, annual, or other recurring terms) are non-refundable.
- Non-Refundable Items: The money-back guarantee does not apply to, and no refunds are available for:
- (a) Domain name registrations, transfers, or renewals.
- (b) SSL certificates, setup fees, or software licenses.
- (c) Service renewals (any hosting subscription fee paid after the initial 30-day money-back guarantee period).
- (d) Fees for accounts suspended or terminated due to a violation of this Agreement.
6. Cancellation and Termination
- Cancellation by You: You may cancel your Services at any time by submitting a cancellation request through your client portal.
- Termination by Us: We may suspend or terminate your account and Services, with or without notice, if: (a) You breach any part of this Agreement; (b) You fail to pay your fees on time; (c) Your use of the Services is harmful to our network or other clients; or (d) We are required to do so by law.
- Effect of Termination: Upon termination, your right to use the Services ceases immediately. All data associated with your account may be permanently deleted. We are not liable for any data loss resulting from termination.
7. Acceptable Use Policy (AUP) - Prohibited Activities
Violation of this Section constitutes a material breach of this Agreement and may lead to immediate suspension or termination of your account without refund.
A. Illegal and Harmful Content
The Services shall not be used for the transmission, storage, or presentation of any content or link to any content that violates any applicable local, state, national, or international law or regulation.
- Prohibited Content Includes: Child Exploitation Material (child pornography), Copyright and Intellectual Property Infringement, Hate Speech and Defamation, Illegal Sales, and Terrorism/Militia Activity.
B. Network and Security Abuse
You may not use the Services to attempt to disrupt, compromise, or destroy the integrity of any computer system or network.
- Prohibited Activities Include: Denial of Service (DoS/DDoS) attacks, Hacking/Unauthorized Access to any system or account, hosting or distributing Malware and Phishing software, and IP Spoofing.
C. Email and Spam Policy (Zero Tolerance)
While Seamless Hosting does not provide integrated email accounts or mail hosting, any transactional email sent via website scripts is subject to a Zero-Tolerance Spam Policy Seamless Hosting maintains a Zero-Tolerance Policy against the transmission of unsolicited commercial email (UCE) or unsolicited bulk email (UBE), commonly known as Spam.
- Prohibited Email Activities Include: Sending Unsolicited Email (without prior verified opt-in consent), Hosting Spam-Supporting Websites, Mailing List Abuse (without double opt-in proof), and exceeding server-specific Bulk Mail Limits.
D. System Resource Abuse
Any usage that disproportionately consumes system resources or interferes with the stability of the shared server environment is prohibited.
- Prohibited Resource Use Includes: Excessive CPU/Memory Usage (caused by inefficient scripts or constant crawling), running Standalone Applications (unattended, server-side processes), using hosting space for Non-Website Storage (general archives, file-sharing), and running Resource-Intensive Activities (peer-to-peer apps, excessive cron jobs).
E. Violations and Enforcement
- Reporting Violations: You must report any suspected violation to legal@seamlesshosting.co immediately.
- Remediation: Seamless Hosting reserves the right to take corrective action upon discovering a violation, including immediate suspension or termination of the account without refund, removal of violating content, and blocking access.
8. Backups and Data Loss
- Client Responsibility: Your use of the Services is at your sole risk. You are 100% responsible for maintaining your own independent backups of your website, database, and all other data.
- Courtesy Backups: We may perform courtesy backups for disaster recovery purposes, but these backups are not guaranteed and are not intended to replace your own procedures.
- No Liability: Seamless Hosting LLC is not responsible or liable for any data loss, corruption, or inability to restore data for any reason.
9. Limitation of Liability
LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEAMLESS HOSTING LLC BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL SEAMLESS HOSTING LLC’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO SEAMLESS HOSTING LLC DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED.
10. Indemnification
You agree to defend, indemnify, and hold harmless Seamless Hosting LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with: (a) Your use of the Services; (b) Your violation of this Agreement; (c) Your violation of any third-party right; or (d) Any claim that your content caused damage to a third party.
11. Privacy Policy
Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference into this Agreement. You can find our Privacy Policy at www.seamlesshosting.co/privacy-policy.
12. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace this Agreement at any time. We will provide notice of material changes, either by email or by posting a notice in your client portal. Your continued use of the Services after such changes become effective constitutes your acceptance of the new Agreement.
13. Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, war, terrorism, riot, natural disaster, or government action.
14. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of South Carolina. Any dispute arising from this Agreement shall be resolved through binding arbitration in Greenville County, SC.
